Welcome to the website and online services of EmCyte Corporation (“EmCyte,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, e-commerce platform, training registration services, and any related content, products, or services provided by EmCyte.

By accessing or using our website or purchasing from EmCyte, you agree to be legally bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.


1. Eligibility and Professional Use

Our products and services are intended solely for licensed medical professionals and entities operating within the scope of legal and ethical medical practice. You represent and warrant that:

  • You are a licensed healthcare provider or authorized agent purchasing on behalf of one;

  • You are purchasing only for professional use;

  • You will not misuse, misrepresent, or resell EmCyte products outside of regulatory guidelines.


2. Account Registration

To access certain features (including training registration and product purchases), you may be required to create an account. You agree to:

  • Provide accurate and complete information;

  • Maintain confidentiality of your login credentials;

  • Accept responsibility for any activity under your account.

We reserve the right to suspend or terminate accounts for fraudulent, unauthorized, or unlawful activity.


3. Product Orders & Payment Terms

All orders are subject to acceptance and availability. EmCyte reserves the right to:

  • Refuse, cancel, or limit orders at its sole discretion;

  • Require additional verification for large or high-value purchases;

  • Cancel orders where professional license verification is not provided.

Payment Terms:

  • Full payment is due at the time of purchase unless otherwise agreed in writing;

  • Payment methods accepted include credit card, ACH, or other authorized options;

  • Late or unpaid balances may be subject to interest, collection fees, or account suspension.


4. Refunds & Returns

EmCyte’s Refund & Return Policy is incorporated into these Terms and can be reviewed here or provided upon request.

Note: All sales are final. Returns are only permitted under limited conditions and require an RMA number. Sterile and disposable products are non-returnable. Replacement—not refund—is the sole remedy for defective items.


5. Training Services & Course Enrollment

EmCyte offers professional training in regenerative medicine, including both online and in-office programs.

By enrolling:

  • You agree to pay all applicable fees prior to attendance;

  • You agree not to duplicate, redistribute, or publish any training content without written consent;

  • EmCyte reserves the right to cancel or reschedule events due to faculty changes, low enrollment, or emergencies. In such cases, alternative dates or credit will be offered.

Training content may be updated periodically to reflect the latest clinical standards.


6. Intellectual Property

All content on EmCyte’s website and training platforms, including logos, product names, videos, written materials, and digital tools, are the intellectual property of EmCyte Corporation or its licensors. You may not:

  • Reproduce, sell, or distribute any EmCyte content without written permission;

  • Use EmCyte trademarks in a misleading or unauthorized manner;

  • Modify or reverse engineer any EmCyte products, software, or digital materials.


7. Data Protection & HIPAA Compliance

Although EmCyte does not collect patient data, we encourage all customers to use secure, HIPAA-compliant channels when referencing patient cases during support or training. You agree not to transmit Protected Health Information (PHI) unless it is fully de-identified.

8. Disclaimer of Warranties

All EmCyte products and services are provided “as is” and “as available.” To the fullest extent permitted by law:

  • EmCyte disclaims all implied warranties, including merchantability and fitness for a particular purpose;

  • We do not guarantee uninterrupted access or error-free operation of our website or training platform;

  • Use of products and services is at your sole risk and professional judgment.


9. Limitation of Liability

To the maximum extent permitted by law, EmCyte shall not be liable for:

  • Indirect, incidental, or consequential damages;

  • Loss of profits, data, or reputation;

  • Any claim arising from use or misuse of our products, services, or training content.

Total liability shall not exceed the purchase price of the affected product or service.


10. International Use

EmCyte primarily serves customers in the United States. International users are responsible for ensuring compliance with their local medical regulations, customs, import requirements, and legal use of biologic products. Training services may not be available in all countries.


11. Termination

EmCyte may suspend or terminate access to its services at any time for violations of these Terms, fraudulent activity, or threats to product integrity, data security, or other users.


12. Modifications to Terms

We reserve the right to update or revise these Terms at any time. Changes will be posted with a new effective date. Continued use of the Services after such updates constitutes acceptance of the revised Terms.


13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Lee County, Florida.
